1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Elkeflux Creative Systems LLC ("Elkeflux", "we", "us", "our") — a Wyoming Limited Liability Company located at 5830 E 2nd St, Ste 7000 #32581, Casper, Wyoming 82609, United States.

By accessing or using any of our Services — including elkeflux.com, cinedz.com, and all CineDZ sub-platforms — you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use our Services.

2. Description of Services

Elkeflux Creative Systems LLC develops and operates a multi-platform ecosystem including:

• CineDZ — Algeria's cinema ecosystem (social networking, VOD, casting, crew, jobs, AI studio, screenplay writing, production management, film financing, contest platform, ticketing, and more)
• Al-Haytham Labs — AI and imaging research
• Echovision Films — Film production studio
• All associated websites, APIs, and mobile applications

We reserve the right to modify, suspend, or discontinue any feature at any time with reasonable notice.

3. Eligibility

You must be at least 16 years old to use our Services. By using the Services, you represent that you meet this requirement. Some features (including payment and professional services) require you to be at least 18 years old.

4. User Accounts

• You are responsible for maintaining the confidentiality of your account credentials
• You must provide accurate and current registration information
• You are responsible for all activity that occurs under your account
• You must notify us immediately of any unauthorised use at security@elkeflux.com
• We may suspend or terminate accounts that violate these Terms

5. Corporate & Territorial Structure

CineDZ and related services operate through two complementary legal entities, each acting as merchant of record and intellectual property holder for their respective territory:

Echovision Films is the locally registered Algerian entity that holds rights registered with ONDA (Office National des Droits d'Auteur et des Droits Voisins), complies with Algerian cultural and digital commerce regulations, and processes DZD payments via SATIM and BDL banking partners.

Elkeflux Creative Systems LLC is the Wyoming-registered parent company that holds global intellectual property under WIPO and USPTO registrations, processes international payments via Stripe, dLocal, and Mercury, and is bound by the laws of the State of Wyoming, USA.

Revenue flows to the entity that is merchant of record for your transaction. Your contractual counterparty is determined by your billing territory at the time of purchase.

6. Intellectual Property

6.1 Your Content

You retain full ownership of the content you create and upload to our platforms (films, scripts, profiles, images, etc.). By uploading content, you grant Elkeflux a non-exclusive, worldwide, royalty-free licence to host, store, display, and distribute your content solely for the purpose of operating the Services.

6.2 Our Intellectual Property

The CineDZ brand, software, design systems, databases, APIs, AI models, and all associated technology are owned by Elkeflux Creative Systems LLC (for international use) and Echovision Films (for Algerian registrations), as described in Section 5. You may not copy, reverse-engineer, resell, or create derivative works from our platform technology.

6.3 Third-Party Content

Film metadata, posters, and related assets sourced from public databases (e.g. TMDB) are used under applicable licenses. All rights belong to their respective owners.

7. Credits System

Many CineDZ platforms use a virtual "Credits" system as in-platform currency:

• Credits are purchased using real currency and are non-refundable except as required by law
• Credits have no cash value and cannot be transferred between accounts
• Unused credits expire 12 months after the last account activity unless otherwise stated
• We reserve the right to adjust credit pricing with 30 days' notice

8. Payments & Subscriptions

Payment processing is handled by the entity that is merchant of record for your territory (see Section 5). The applicable processor and currency depend on your billing region at the time of purchase:

• Algeria: Payments processed by Echovision Films via SATIM / BDL in Algerian Dinar (DZD)
• International: Payments processed by Elkeflux Creative Systems LLC via Stripe, dLocal, or Mercury in USD, EUR, or local currencies

By making a purchase, you agree to the terms of the applicable payment processor. Additional terms:

• All prices are displayed in the currency relevant to your region
• Subscriptions auto-renew unless cancelled before the renewal date
• Refunds are handled in accordance with our Refund Policy and applicable consumer protection laws
• We reserve the right to modify pricing with 30 days' prior notice

Note: Stripe and dLocal international payment methods are being phased in. Availability may vary by region during the rollout period.

9. Prohibited Conduct

You agree not to:

• Upload or distribute content that infringes third-party intellectual property rights
• Post illegal, fraudulent, misleading, defamatory, or obscene content
• Harass, abuse, or threaten other users
• Attempt to gain unauthorised access to our systems or other users' accounts
• Use automated scraping, bots, or data-mining tools without written permission
• Spam, phish, or distribute malware through our platforms
• Use our AI tools to generate illegal, harmful, or deceptive content
• Circumvent geographic restrictions or payment controls

10. Content Moderation

We reserve the right to remove any content that violates these Terms or our Community Guidelines, without prior notice. Repeat offenders will be permanently banned. We operate a good-faith notice-and-takedown process for intellectual property complaints.

11. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. ELKEFLUX DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR MEET YOUR SPECIFIC REQUIREMENTS. WE MAKE NO WARRANTIES REGARDING THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY CONTENT.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ELKEFLUX CREATIVE SYSTEMS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify and hold harmless Elkeflux Creative Systems LLC, its officers, employees, and agents from any claims, liabilities, damages, and expenses (including legal fees) arising from your use of the Services, your content, or your violation of these Terms.

14. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law principles. Any dispute that cannot be resolved informally shall be submitted to binding arbitration under the American Arbitration Association (AAA) rules, conducted in English.

15. Modifications

We may update these Terms at any time. Material changes will be communicated via email or a prominent notice at least 14 days before taking effect. Continued use of the Services after that date constitutes your acceptance of the updated Terms.
